CHAPTER I – GENERAL PROVISIONS
Art. 1 – NAME AND HEADQUARTERS
The name of the organization; MEDITERRANEAN MUAYTHAI UNION (in short “MMU”) constituted on by initiative of IFMA (IF) (International Federation Of Muaythai Association ) and in presence of Mediterranean MUAYTHAI Union and/or Association members of IFMA (IF) during the foundation General Assembly meeting of the MEDITERRANEAN MUAYTHAI UNION is an organization constituted according to IFMA (IF) (International Federation Of Muaythai Association ) is for an unlimited period of time.
The organization Headquarters; Tekellioglu Cad Gazi aprt no 9/8 Muratpasha Antalya Turkiye;
The legal seat of the MEDITERRANEAN MUAYTHAI UNION is Antalya Turkiye and may only be transferred to another location following a resolution by the General Assembly. The administrative office of the MEDITERRANEAN MUAYTHAI UNION is in the country of the General Secretary
The MEDITERRANEAN MUAYTHAI UNION is a non-profit organization, composed of autonomous and independent IFMA IF national Federations and/or Associations and other national organizations contributing to the sport of Muaythai and its derivatives and any other style, combat sport or martial art where Muaythai is a component part of such activity (Mats Sports & Ring Sports) in their countries.
Art. 2 – OBJECTIVES
The IFMA MEDITERRANEAN MUAYTHAI UNION is a not for profit Federation and its objectives are the following:
• to promote its Muaythai Sport (Mats Sports & Ring Sports Styles) within The Mediterranean group of countries, at all levels, as a means to contribute to the positive development of society;
• to get recognition by IFMA (IF), Confederation of Mediterranean Games and Olympic Committee;
• to assist its Members in strengthening their position as national leaders, to develop specific services for its Members and provide them with assistance, training and support;
• to increase the level of its recognition and its Members by Mediterranean Olympic movement and the Olympic Movement stakeholders as well as by other entities involved in sport in the Mediterranean area;
• to organize international championships, tournaments, contests in the Mediterranean region between countries and large sporting event;
• to provide administrative and other appropriate support to its members;
• to recognize the autonomy of its Members and their authority within their territory;
• to promote closer relationships among its Members and any other sport organization in the Mediterranean region;
• to coordinate and protect the common interest of its Members to collect, and circulate information to and among its Members;
• to prevent all methods or practices which might jeopardize the integrity of Muaythai Sport and its derivatives and any other style, combat sport or martial art where Muaythai is a component part of such activity in the Mediterranean region;
• To become a recognized Confederation of Mediterranean Games;
• To have the sport of Muaythai and its disciplines included in the Mediterranean Games.
Art. 3 – NON-DISCRIMINATION, REPRESENTATION OF WOMEN
The MEDITERRANEAN MUAYTHAI UNION and its Members reject all forms and means of discrimination against individuals, groups of people, organizations or countries of ethnic origin, gender, language, religion or politics.
The MEDITERRANEAN MUAYTHAI UNION supports a fair representation of women in Muaythai activities and in the management of the sport.
Art. 4 – Official Language
The official language of the MEDITERRANEAN MUAYTHAI UNION is English.
The representatives of the federations and/or associations which are Members of IFMA can use their own language during meetings, provided they have a qualified English interpreter.
Art. 5 – MEMBERSHIP
The MEDITERRANEAN MUAYTHAI UNION will accept as member only the National Muaythai Federations and/or Associations which conduct their activities in their respective Countries in the Mediterranean region countries contributing to the sport of Muaythai and its derivatives and any other style, combat sport or martial art where Muaythai is a component part of such activity.
Membership is available to any Muaythai federation and/or association recognized by IFMA in a given Nation (“Country”) which groups together the State/Provincial federations and/or association and/or organizations throughout such Country practicing the Muaythai Sport and respecting the MEDITERRANEAN MUAYTHAI UNION’s Statutes, rules and regulations.
Valid Member countries within the Mediterranean region are:
ALBANIA, ALGERIA, ANDORRA, BOSNIA & HERZEGOVINA, CROATIA, NOC CYPRUS, EGYPT, FRANCE, GREECE, ITALY, KOSOVO, LEBANON, LIBYA, MALTA, MONACO, MONTENEGRO, MOROCCO, NORTH MACEDONIA, PORTUGAL, SAN MARINO, SERBIA, SLOVENIA, SPAIN, SYRIA, TUNIS, TURKEY.
If in any relevant Country where there is more than one of such federation and/or association, the Board of Directors is entitled to decide at its discretion which federation and/or association is eligible for the membership to the MEDITERRANEAN MUAYTHAI UNION.
All members of the MEDITERRANEAN MUAYTHAI UNION are requested to abide with the provisions of the present Statutes as well as with any and all regulations of the MEDITERRANEAN MUAYTHAI UNION and IFMA (IF) (International Federation of Muaythai Association).
In any single country, the MEDITERRANEAN MUAYTHAI UNION can be represented by one or more Muaythai Federations and/or Associations and that’s because of the many existing styles subject to approval of the MEDITERRANEAN MUAYTHAI UNION’s Board of Directors.
Any Mediterranean Muaythai Federation and/or Association, being a member of the MEDITERRANEAN MUAYTHAI UNION, cannot be member of another Mediterranean Federation or WORLD wide or international Muaythai Federation and/or Association except IFMA (IF).
The MEDITERRANEAN MUAYTHAI UNION can also accept individual members, but only in those countries where there is no existing National Muaythai Federation and/or Association or the MEDITERRANEAN MUAYTHAI UNION has not any representative.
Membership shall be subject to the approval of the Board of Directors which shall decide with a resolution taken with the majority provided under Article 19, paragraph H.
The MEDITERRANEAN MUAYTHAI UNION’s yearly membership fee can be fixed by the Board of Directors. Said fee is paid directly to the THE MEDITERRANEAN MUAYTHAI UNION’s bank account as determined by the MEDITERRANEAN MUAYTHAI UNION Board of Directors or by the President.
The MEDITERRANEAN MUAYTHAI UNION Board of Directors adopts three different types of membership:
A. PROVISIONAL MEMBER: Each initial applicant who has satisfied the initial membership
obligations including the payment of the affiliation fee relating to the status of “Provisional Member” in the amount proposed by the Board of Directors and approved by the General Assembly and detailed in the Fee Bylaw. This membership level is valid for a minimum 2 (two) years term to a maximum 4 (four) years term or more, upon decision of the Board of Directors, and is non renewable. Provisional Members may participate to the Ordinary General Assembly or the Extraordinary General Assembly but do not have any voting rights and the right to speak; they may have the right to speak only in case they are required by the President or his designated substitute. The Provisional Member shall automatically become an Official Member at any time upon payment of the affiliation fee due in connection with the status of “Official Member” in the amount proposed by the Board of Directors and approved by the General Assembly as detailed in the Fee Bylaw A Provisional Member has the right to be informed regarding all activities of the MEDITERRANEAN MUAYTHAI UNION on a worldwide basis.
B. OFFICIAL MEMBER: A Member who has satisfied all obligations provided for by this Statutes including the payment of the affiliation fee relating to the status of “Official Member” in the amount proposed by the Board of Directors and approved by the General Assembly and detailed in the Fee Bylaw. Each Official Member is entitled to participate to the Ordinary General Assembly and the Extraordinary General Assembly and has the right to cast 1 vote.
C. FULL MEMBER: A Member who has fulfilled a mandatory 4 years term as Official Member and has satisfied all obligations provided for by this Statutes including the payment of the affiliation fees relating to the status of “Full Member” in the amount proposed by the Board of Directors and approved by the General Assembly and detailed in the Fee Bylaw. Each Full Member is entitled to participate to the Ordinary General Assembly and the Extraordinary General Assembly and has the right to cast 2 votes. Any Member who has reached the recognition by the National Olympic Committee or its Government Sport Authorities shall automatically become a Full Member – regardless the other previous status of Provisional Member and/or Official Member – subject to his payment of the affiliation fees relating to such status.
Unless otherwise provided in this Statutes, the term “Voting Members” refers to both the Official Members and the Full Members who have the right to vote in the General Assembly.
The membership’s fee of the MEDITERRANEAN MUAYTHAI UNION is independent from the membership’s fee of IFMA (IF) payable to IFMA (IF) as provided by IFMA (IF) Statutes and bylaws.
The membership in the MEDITERRANEAN MUAYTHAI UNION is terminated by resignation, by expulsion, or simply by decision of the Board of Directors.
The non payment of the MEDITERRANEAN MUAYTHAI UNION’s yearly for two years or of any other dues determined by the MEDITERRANEAN MUAYTHAI UNION’s Board of Directors can bring to expulsion.
Art. 6 – HONORARY MEMBERS
The General Assembly may, upon proposal by the Board of Directors, grant the title of “Honorary President” or “Honorary Member” respectively to (i) a retiring President or (ii) a retiring Board of Directors member, for the outstanding services rendered to the MEDITERRANEAN MUAYTHAI UNION.
Art. 7 – Voting Members’ Rights
Voting Members have the right:
A. to receive in advance the agenda of the General Assembly;
B. to be called to the General Assembly within the prescribed time;
C. to take part to the General Assembly and to exercise their right to vote;
D. to be informed of the activities and events of the MEDITERRANEAN MUAYTHAI UNION;
E. to call for an Extraordinary General Assembly;
F. to participate in voting and elections;
G. to propose items for consideration regarding the agenda of the General Assembly;
H. to nominate candidates to the Presidency of the MEDITERRANEAN MUAYTHAI UNION;
İ. to nominate candidates for election to the Board of Directors of the MEDITERRANEAN MUAYTHAI UNION;
J. to exercise any other right arising from this Statutes;
K. to participate in any MEDITERRANEAN MUAYTHAI UNION official event.
The exercise of these rights is subject to other provisions in these Statutes and the applicable regulations.
Art. 8 – MEMBERS’ OBLIGATIONS
All Members of the MEDITERRANEAN MUAYTHAI UNION, including the Provisional Members, have the obligations:
A. to comply with this Statutes as well as any and all regulations, directives and decisions of the MEDITERRANEAN MUAYTHAI UNION bodies at any time and to comply with the decisions of the Court of Arbitration for Sport (CAS);
B. Must be a member recognized by IFMA IF and fully paid up regarding membership fee as determined by the MEDITERRANEAN MUAYTHAI UNION’s Board of Directors.
C. to ensure that their own members comply with the Statutes, regulations, directives and decisions of the MEDITERRANEAN MUAYTHAI UNION
D. to have their executive bodies and disciplinary bodies elected by their respective general assembly;
E. to notify the MEDITERRANEAN MUAYTHAI UNION, in writing, of any modification in their constitution/Statutes, regulations and directives or of the inclusion of any new discipline to their national program;
F. to recognize the MEDITERRANEAN MUAYTHAI UNION and IFMA (IF) as exclusive organization of reference of promotional and/or professional activities in connection with the Muaythai Sport and shall not organize any of such activities in any manner or form which may compete with the MEDITERRANEAN MUAYTHAI UNION or IFMA (IF) and its activities;
G. to pay their membership affiliation fee each year to the MEDITERRANEAN MUAYTHAI UNION and IFMA (IF) in connection with their respective membership status, as determined by the Board of Directors and approved by the General Assembly as detailed in the Fee Bylaw, no later than 31st of March of each year.
H. to fully comply with all other duties arising from this Statutes and other regulations. Moreover, each Member shall not:
a. be member of any other national or international Muaythai organizations ot its derivatives competing with the MEDITERRANEAN MUAYTHAI UNION or IFMA (IF);
b. have among its members persons who are part of other national or international Muaythai organizations or its derivatives competing with the MEDITERRANEAN MUAYTHAI UNION or IFMA (IF);
c. permit or allow its members to participate in any other national or international event(s) organized by other Muaythai organizations competing with the MEDITERRANEAN MUAYTHAI UNION or IFMA (IF);
Art. 9 – REVISION OF MEMBERSHIP
A. In case of modifications of the Statutes, rules, regulations and directives by a Member, or the
inclusion of new disciplines to its program, the Board of Directors is entitled to review the membership of such Member.
B. Any revision of the membership of a Member by the Board of Directors which leads to a specific decision by the latter regarding the membership status of a Member, shall be duly communicated in writing to the Member
CHAPTER II – ADMINISTRATION OF THE FEDERATION
Art. 10 – BODIES
The bodies of the MEDITERRANEAN MUAYTHAI UNION are the following:
A. the General Assembly is the supreme body of the MEDITERRANEAN MUAYTHAI UNION;
B. the Board of Directors of the MEDITERRANEAN MUAYTHAI UNION is the executive body;
C. the Administration (administrative staffs) is the administrative body;
Art. 11 – THE BOARD OF DIRECTORS
The Board of Directors is the executive body of the MEDITERRANEAN MUAYTHAI UNION consisting of minimum of 5 up to maximum of 11 Directors in total. Their number shall be set on proposal of the duly elected President at the General Assembly.
The Board of Directors shall be elected by the General Assembly through a vote for each single member. It will stay in charge for 4 years similar to the President of IFMA IF and can be renewed every four years. IFMA retains the discretion to appoint up to 3/4 Directors
The members of the Board of Directors are the Presidents or representatives of National Muaythai Federations and/or Associations, members of the MEDITERRANEAN MUAYTHAI UNION. However the President may be a member of a Federation and/or Association which has already a member in the Board of Directors, reserve being made that in no case can a Federation and/or Association have more than two representatives on the Board of Directors.
The General Secretary is nominated by the Board of Directors and can be one of the previously elected members of the Board of Directors if applicable.
The Medical and Anti-Doping Committee is nominated by the Board of Directors and can be chaired by one of the previously elected members of the Board of Directors.
Art. 12 – THE PRESIDENT
Any president of an affiliated Mediterranean National Muaythai Federation and/or Associations or members of the MEDITERRANEAN MUAYTHAI UNION can stand as candidate to the presidency of the MEDITERRANEAN MUAYTHAI UNION if:
- his Federation and/or Association is an OFFICIAL MEMBER or a FULL MEMBER of IFMA (IF) for the past 4 (four) years
- has never incurred any IFMA or the MEDITERRANEAN MUAYTHAI UNION sanction or disqualification.
The President of the MEDITERRANEAN MUAYTHAI UNION will be elected directly by the General Assembly for four years by simple majority of votes.
The President of the MEDITERRANEAN MUAYTHAI UNION shall Chair the General Assembly, the Board of Directors and managing the Headquarters office.
He will represent the MEDITERRANEAN MUAYTHAI UNION or all purposes within its legal existence and before the Courts.
The President is responsible and manages the Administration and oversees the day to day - running of the MEDITERRANEAN MUAYTHAI UNION.
- The President shall be entitled to compensation for his services and reimbursement of the reasonable expenses incurred in performing his duties.
- The President may delegate some of his powers.
- In absence of the President, the MEDITERRANEAN MUAYTHAI UNION may be represented by one of its three vice-presidents, nominated by the President.
- The President may choose a Secretary to help and assist him in the MEDITERRANEAN MUAYTHAI UNION office.
- Art. 13 – VICE PRESIDENTS
- Vice-Presidents will be elected for four years by the General Assembly and assist the President. The MEDITERRANEAN MUAYTHAI UNION can have a maximum of two vice-presidents, one named as 1st Vice president and the other two Vice Presidents have no ranking order.
- Art. 14 – FUNCTIONING OF THE BOARD OF DIRECTORS
- The Board of Directors shall meet at least once per year and more often if necessary, either called by the President or by half of its members.
- The Board of Directors shall determine the Agenda of the General Assembly or of any General Extraordinary Assembly.
- In case of vacancy of the President’s office, the 1st Vice President will substitute the President until he/she is able to resume the position or, in any event, until the next Ordinary General Assembly or Extraordinary General Assembly.
- The Board of Directors shall validly deliberate if a representation of greater than fifty percent of its members is present. Its decisions shall be taken by a majority of the votes cast and recorded in the minutes of said Assembly.
- Certain persons who are not members of the Board of Directors may attend the meetings for technical reasons if they are authorized by the President. These persons have no right to vote.
- The minutes of each meeting shall be signed by the President or Vice President and or the Secretary of the meeting.
- The members of the Board of Directors shall not receive any remuneration for their work. However the members of the Board of Directors shall be entitled to the reimbursement of the reasonable expenses incurred in performing their duties.
- Art. 15 – POWERS OF THE BOARD OF DIRECTORS
- The Board of Directors has all power in connection to management and administration of the MEDITERRANEAN MUAYTHAI UNION and, in particular:
- a) They may ensure that the Articles and the Rules and Regulations of the MEDITERRANEAN MUAYTHAI UNION are respected, to check their interpretation and to take and apply any necessary decision to that regard;
- They may decide upon the provisional affiliation with the MEDITERRANEAN MUAYTHAI UNION of any Mediterranean National Federation and/or Association or single individuals pursuant to the provisions set forth by Article 8 of these Statutes;
- b) They may settle the dispute which may arise among affiliated members when its arbitration is requested or if it is necessary due to a critical situation;
- c) They may decide for suspension and or expulsion of a Member in conformity of article
- 28.2 and 28.3 of these Statutes;
- d) prepares and convenes the Ordinary and Extraordinary General Assemblies;
- e) Study any question which will be submitted to the General Assembly of the MEDITERRANEAN MUAYTHAI UNION;
- f) is responsible to ensure that each Board member is accountable for fulfilling the tasks and assignments as directed by these Statutes, General Assembly, decisions of the Board of Directors or the President;
- g) provides sanctioning in connection with the MEDITERRANEAN MUAYTHAI UNION events;
- h) appoints the Treasurer of the MEDITERRANEAN MUAYTHAI UNION;
- i) determines and proposes to the General Assembly the sanctioning fees as well as the affiliation fees;
- j) prepares and approves the regulations and Bylaw of the MEDITERRANEAN MUAYTHAI UNION in conformity of IFMA (IF) Bylaw and rules and regulations of functioning of IFMA (IF);
- k) They may fix the MEDITERRANEAN MUAYTHAI UNION yearly fees and criteria of membership of the MEDITERRANEAN MUAYTHAI UNION;
- l) Approves the annual financial statements of the MEDITERRANEAN MUAYTHAI UNION each year which are then submitted to the General Assembly for the relevant ratification;
- m) They may take all steps which will be necessary for the organization of Mediterranean and Regional Championships, International meetings/events, Regional, intercontinental. Mediterranean Games, including the selection of referees and judges and the staff to run those events;
- n) They may decide upon the Technical, Medical, Referee, PR, Press Commission or any other commission for the MEDITERRANEAN MUAYTHAI UNION;
- o) Is responsible in all matters that are not reserved to other bodies of the MEDITERRANEAN MUAYTHAI UNION by these Statutes or the regulations and directives of the MEDITERRANEAN MUAYTHAI UNION;
- p) Establish any committee and appoint its members, it deems necessary at any time.
- q) May appoint a Secretary General and define and decide the duties of such position.
- Art. 16 – COMPOSITION
- Composition of the Board of Directors
- The Board of Directors shall consist of the President and up to 16 (sixteen) directors (“Directors”), as follows:
a. up to 5 (five) Directors ex officio (“Ex Officio Directors”), as representatives of each of the 5 Continental Federations. Ex Officio Directors are the acting presidents of the Continental Federations recognized by IFMA. Each Continental Federation shall keep IFMA informed at all times about the name of that Continental Federation’s acting president; whenever a Continental Federation holds a presidential election, IFMA shall be informed of the outcome within the same day. To be entitled to be represented on the Board of Directors of IFMA, a Continental Federation must have at least 3 Full Members participating at the IFMA World Championships in the last 2 (two) years and - which have paid their affiliation fees to the IFMA in the last 3 (three) years. In the event these cumulative conditions cease to be met, the representation of that Continental Federation by an Ex Officio Director is suspended until they are again fulfilled. In case an Ex Officio Director loses his/her position as president of the relevant Continental Federation, he or she shall automatically loose his or her position as Ex Officio Director. The new elected president of the relevant Continental Federation automatically takes the place of the outgoing Ex Officio Director.
- b. A minimum of 5 and up to 11 (eleven) Directors to be elected by the General Assembly (“Elected Directors”) upon proposal of the elected President as set forth in paragraphs 2 and 3 below.
- The elected President shall propose persons to be elected in accordance with paragraph 1(b) above (“Proposed Directors”) from amongst the candidates nominated by the Members pursuant to Article 33 below. The Proposed Directors shall be selected by the President taking into account the following criteria:
a. One Elected Director shall be a Member of the Athlete’s Committee. If the candidates nominated by the Members do not include a Member of the Athlete’s Committee, the President shall propose the Chairman of the Athlete’s Committee to the General Assembly.
b. At least 30 to 40 % of the Directors should be women. - The list of Proposed Directors shall be voted on en bloc by the General Assembly. In case the General Assembly does not approve the list, the President shall submit a new list. The process shall be repeated until a list is accepted by simple majority of the votes effectively and validly cast, in which case all persons on the list are Elected Directors.
- In its first meeting, to take place as early as possible after the elective General Assembly, the Board of Directors, upon proposal of the President, shall elect:
a. from among the Elected Directors, a First Vice-President, a General Secretary and a Treasurer (such election shall not affect their status as Elected Directors). The General Secretary shall be elected from amongst those Elected Directors, if any, who already served in a previous mandate as members of the Board of Directors; and
b. from the other Directors, at least one and at most five further Vice-Presidents. - In case the President withdraws or becomes unable to perform his or her function for any reason, the First-Vice President shall act as President ad interim until the President is able to resume his position. If the President is definitively unavailable, a General Assembly having the election of a new president and the election of a new Board of Directors on its agenda shall be organized within 6 (six) months from the date the First Vice-President has begun to exercise its functions of President ad interim.
- If an Elected Director withdraws or becomes unable to perform his or her function for any reason, the corresponding position of Elected Director may remain vacant until the next Ordinary General Assembly. However, if the vacancy concerns the position of First Vice-President, General Secretary or Treasurer, the President shall appoint a substitute from among the other Elected Directors. If the number of Elected Directors becomes less than 5 (five), a General Assembly must be called within no more than 3 (three) months to elect additional Elected Directors so that there are again at least 5 (five) and at most 11 (eleven) Elected Directors in office.
- Subject to the above, the Board of Directors determines its own organization. It may delegate the handling of specific tasks to certain Directors.
- The President and the Directors may only be compensated for their activities on behalf of IFMA in case the Board of Directors so resolves and if such compensations are included in the annual budget.
Art. 17 – NOTIFICATION OF GENERAL ASSEMBLY
Formal notice will be sent to all the MEDITERRANEAN MUAYTHAI UNION members by the following medium: regular mail, fax or email no longer then 30 days from the proposed date.
In extreme cases the notification can be shortened at the discretion of the MEDITERRANEAN MUAYTHAI UNION president.
Art. 18 – VOTE DISTRIBUTION - Each Voting Member who has satisfied all its financial obligations toward the MEDITERRANEAN MUAYTHAI UNION and IFMA IF, at the time of the meeting of the General Assembly is entitled to vote according to his membership status.
- Each Voting Member entitled to vote must regularly pay his affiliation fee (every year) and not have any unpaid affiliation fes in order to maintain his right to vote.
- Delegates may represent one additional Member if an appropriate proxy authorization has been submitted in writing to the Administration prior to start of General Assembly.
- All decisions shall be deemed passed with the quorums specified in these Statutes on the basis of votes validly cast by the Delegates of the Members who have voting rights pursuant to these Statutes.
- Illegible, void, blank or improper ballot votes and abstentions shall not be calculated in the majorities.
- Voting:
- The PROVISIONAL MEMBERS of THE MEDITERRANEAN MUAYTHAI UNION have no voting rights.
- The OFFICIAL MEMBERS of THE MEDITERRANEAN MUAYTHAI UNION have one vote.
- The FULL MEMBERS of THE MEDITERRANEAN MUAYTHAI UNION have two votes.
- As representative of his/her national Federation and/or Association the THE MEDITERRANEAN MUAYTHAI UNION President will be granted an extra vote or casting vote in case of tied vote.
- Decisions will be taken by a simple majority of the votes expressed.
- Any Mediterranean National Federations and/or Associations whose payments are not completely
- made at the date fixed by the Board of Directors shall have the right to participate but will not have the right to vote at the General Assembly.
- Art. 19 – QUORUM
- A. The General Assembly will take place and validly deliberate if the representation is greater than fifty percent (50%) of the voting MEMBERS;
- B. Each Member, entitled to a vote must submit their membership fee regularly (every year) to maintain their right to vote;
- C. Representation by proxy is allowed ONLY under the following conditions.
- Delegates
- Each Provisional and Full Member is represented at the General Assembly by 1 (one) or 2 (two)
- Delegates may be the NF President and/or other NF representative(s) being Affiliate(s) of the NF in question and designated by the NF President. The Delegates other than the NF President shall be able to establish their powers by means of a written power-of-attorney (“Proxy”) in English executed by the President of the NF.
- Members which establish proxies shall provide duly executed Proxies at the latest 7 (seven) days before the date scheduled for the meeting of the Ordinary General Assembly or the Extraordinary General Assembly, as applicable.
- Delegates of a IFMA Member must be IFMA Individual Affiliates of that Member and hold the citizenship of the country of the concerned Member. Representation by Delegates of another Member is not authorized.
- The Board of Directors shall appoint an Electoral Commission composed of three persons. The Electoral Commission shall verify the attendance and the regularity of the Proxies before a
- General Assembly.”
All Delegates shall send to IFMA Administration a power of attorney/mandate (Proxy) signed by the duly authorized legal representative of the Member within 7 days before the date scheduled for the meeting of the Ordinary General Assembly, which he/she must carry on the day of the Assembly. Therefore, proxies shall be received by IFMA Administration
D. Failing the above quorum to be reached, the General Assembly will be called again and this time it can deliberate whatever may be the number of members as represented;
E. In the General Assembly, the MEDITERRANEAN MUAYTHAI UNION President will report about the financial, structural, political position and activities of the Association;
F. The General Assembly will discuss and vote for the election of the President of the Federation and for the members of the Board of Directors every four years;
G. resolutions of the Ordinary General Assembly shall be deemed duly passed with the favorable vote of a majority of 50% +1 (fifty per cent plus one) of the Members in attendance, to be calculated with respect to the votes cast by the Voting Members only;
H. Resolutions of the Ordinary General Assembly regarding changes to the Statutes and dissolution of the MEDITERRANEAN MUAYTHAI UNION, shall be deemed duly passed with the favorable vote of 2/3rd (two thirds) of the Members in attendance, to be calculated with respect to the votes cast by the Voting Members only;
İ. When the quorum under paragraph A above is not reached in the first call, the Ordinary General Assembly shall be held in second call 3 hours after the first had to be established, with the same agenda. The Ordinary General Assembly shall validly resolve, regardless of the percentage of Members which is in attendance, with the favorable vote of a majority of 50% +1 (fifty per cent plus one) of the Members in attendance, to be calculated with respect to the votes cast by the Voting Members only, unless in case the agenda provides for any or the following items: changes to the Statutes and dissolution of IFMA, in which case the relevant resolution shall be deemed duly passed with the favorable vote of 2/3rd (two third) of the Members in attendance, to be calculated with respect to the votes cast by the Voting Members only;
J. Decisions passed by the General Assembly shall come into effect for the Members immediately upon the close of the General Assembly, unless the General Assembly fixes another date for a decision to take effect.
Art. 20 – THE GENERAL ORDINARY ASSEMBLY
The General Ordinary Assembly of the MEDITERRANEAN MUAYTHAI UNION shall be held at least every two years during the Mediterranean championships, except in case of “force majeure” (wars, turmoil, natural disasters etc.) preventing the free circulation of the affiliated Federations and/or Associations.
Its agenda shall be drawn up by the President and the Board of Directors in conformity to good business practices and sent to all members 40 days before the Assembly takes place.
In the General Ordinary Assembly the President and the Board of Directors members will report about the moral political, financial position and activities of the Federation.
The Assembly will deliberate upon the questions on the agenda.
The minutes of the Assembly shall be mailed to all the MEDITERRANEAN MUAYTHAI UNION members.
Art. 21 – THE GENERAL EXTRAORDINARY ASSEMBLY
The General Extraordinary Assembly may be called by the Board of Directors in addition to the General Ordinary Assembly.
The General Extraordinary Assembly can also be requested by three fourth (3/4) of the voting Mediterranean National Muaythai Federations and/or Associations affiliated, which must send in that case their request to the President of MEDITERRANEAN MUAYTHAI UNION by registered letter stating the reasons for that Assembly and specifying the matters to be put on the Agenda. Upon receipt of that request, the President shall call the General Extraordinary Assembly within three months, carefully informing all affiliated Federations or Associations.
The place, the date and the agenda shall be set by the MEDITERRANEAN MUAYTHAI UNION Board of Directors.
The notice of call of the Extraordinary General Assembly shall specify: the place where the meeting is to be held, the date and time of calling and the items on the agenda as well as the reasons for convening an Extraordinary General Assembly.
No items other than those specified in the notice of call may be added to the agenda of the meeting nor shall be discussed at such Extraordinary General Assembly.
The Extraordinary General Assembly meeting, held whether in first or in second call, shall validly resolve with the favorable vote of at least 2/3rd (two third) of the favorable votes of the Voting Members, irrespective of the number of Members in attendance.
Art. 22 – MEETINGS
The President presides over every meeting of the Ordinary General Assembly or the Extraordinary General Assembly and of the Board of Directors meeting. If the President is absent, he shall nominate a Vice President to take his role in the meeting, in any other case the longest serving Vice President shall deputize.
Art. 23 – MINUTES – WRITTEN RESOLUTIONS
A. The minutes of the meetings are recorded in English by the secretary of the meeting, appointed among its members by the President, and submitted for approval by the Board of Directors within 1 (one) month of the meeting;
B. The minutes of the meetings of the Board of Directors are communicated to the Members through email by the Administration;
C. No correction of or alteration to the minutes will be accepted without written notification to the Administration, duly received and acknowledge, within 10 (ten) days of the date of circulation of the minutes to the Members;
D. The Board of Directors may also decide that any decision to be taken by the General Assembly shall be made by means of written resolution;
E. The Members shall be notified by the Administration in writing (i.e. registered letter, fax, e-mail or other means than can provide evidence of the receipt) about the Board decision according to paragraph D above together with the items to be decided on at least 30 (thirty) days before the date of the taking the planned decision;
F. Any Member wishing to add a new item must submit it to the Board of Directors no later than 1 (one) months prior to the planned decision;
G. At least 15 (fifteen) days prior to the planned decision, the Administration shall send to the Members all documents and/or materials relating to the items planned to take a written resolution as prepared by the Board of Directors as well as any document submitted by a Member in accordance with paragraph F above;
H. The Members have to cast their vote by registered letter; fax, e-mail or other means than can provide evidence of the receipt within the deadline set by the Board of Directors. This
deadline must be at least 15 (fifteen) days upon receipt of the formal request to vote;
İ. The Board of Directors shall be validly established with the presence of the majority (50%+1) of the directors in office and the resolutions of the Board of Directors – save for those provided for in paragraph J below – shall be validly adopted with the favorable vote of the absolute majority of the attendees;
J. Resolutions of the Board of Directors regarding suspension and expulsion of a Member, shall be adopted with the favorable vote of 2/3rd (two/third) of the members in attendance;
K. The Board of Directors is however duly established and able to adopt resolutions even in the absence of a formal call, provided that all members of the Board of Directors are in attendance have been informed in writing (mail/letter/fax);
L. The meetings of the Board of Directors may also be held by way of teleconference or videoconference or web cast, provided that the President and the secretary of the meeting, who is appointed by the President among the members of the Board, is present in the same place and that all the attendees can be identified, and they can follow and take part in the discussion of the items on the agenda in real time. Such requirements having been fulfilled, the Board of Directors shall be deemed to have met in the place where the President and the secretary are in attendance;
M. Board resolutions may also be passed by means of written resolutions (circular resolutions), in writing, by facsimile or by a signed copy sent by e-mail, provided that no Board member requests deliberation in a meeting, within 5 (five) calendar days after hearing of the proposed resolution. Board resolutions by means of written resolutions to be passed require the majorities according to paragraph I above;
N. The Administration shall notify the Members about the result of the written resolution without delay.
CHAPTER III: THE MEDITERRANEAN MUAYTHAI UNION STRUCTURE
Art. 24 – ORGANIZATIONAL STRUCTURE OF THE MEDITERRANEAN MUAYTHAI UNION
THE MEDITERRANEAN MUAYTHAI UNION is structured as following:
- 1 President
- 1st Vice president
- 2 Vice presidents
- Up to 7 Board members
- 1 Treasurer
CHAPTER IV: AFFILIATION AND ANNUAL - INCOME Art. 25 – AFFILIATION
Any Mediterranean National Muaythai Federation and/or Association and individuals wishing to become a member of the MEDITERRANEAN MUAYTHAI UNION, must apply to v MEDITERRANEAN MUAYTHAI UNION Board of Directors which is responsible for the acceptance of the request. No member can be accepted without the payment of the annual fee (If applicable) to the MEDITERRANEAN MUAYTHAI UNION, as agreed by the Board of Directors.
Art. 26- ANNUAL INCOME
The income of the MEDITERRANEAN MUAYTHAI UNION shall include:
A. The income from yearly fees of all its members.
B. The income from entry fees registration of any the MEDITERRANEAN MUAYTHAI - UNION Championships and Tournaments
- C. Any and all sanctioning fees paid by promoters/organizers of any Championships in including Mediterranean Games, activities.
- D. The income from possible merchandising in sporting events,
- E. TV and film rights of its events,
- F. Possible gifts and free donations,
- G. Sanctioning fees on Muaythai articles manufacturers.
- H. Sponsors,
- İ. Public Subsidies.
- The calendar of any Mediterranean event should be placed according to IFMA (IF) calendar and never conflict with a IFMA World Championship or World Cup.
- Sanctioning and entry fees regarding Mediterranean Championships should be determinate by the MEDITERRANEAN MUAYTHAI UNION Board of Directors.
- Art. 27 – AFFILIATION DUTIES AND FEES
- Any Mediterranean affiliated National Federation and/or Association member of the MEDITERRANEAN MUAYTHAI UNION has to pay an annual fee whose amount is fixed by the Board of Directors. The mentioned annual fees is separate from the annual fee payable to IFMA (IF).
- Each MEDITERRANEAN MUAYTHAI UNION member has to pay to the MEDITERRANEAN MUAYTHAI UNION annual yearly fees within March 31st of every calendar year.
- The payment of such fee is not dispensing the member of the payment of their annual affiliation fees of IFMA (IF) which must to be paid to IFMA (IF) directly.
- Irregular payment or reiterate not payment of annual fees, bring to the loss of the right to vote and in the end of membership.
- Art. 28 – RESIGNATION – SUSPENSION – EXPULSION
- 28.1 – RESIGNATION
- A Member may resign at any time from the MEDITERRANEAN MUAYTHAI UNION, provided that at the time of resignation he has no outstanding liabilities vis-à-vis the MEDITERRANEAN MUAYTHAI UNION.
- Such resignation shall take effect immediately upon receipt by the MEDITERRANEAN MUAYTHAI UNION of a notice of resignation signed by the legal representative of the relevant Member.
- Any Member intending to relinquish membership must send the notice of resignation to the Administration of the MEDITERRANEAN MUAYTHAI UNION by means of registered letter with return receipt requested or email or facsimile. Any outstanding affiliation fees must be paid by the resigning Member. Any affiliation fees already paid will not be refunded
- 28.2 – SUSPENSION
- A. The Board of Directors, through a decision adopted with the majority provided under Article 23 paragraph J, above, may suspend a Member who seriously violates rules and regulations and its obligations, from the delivery to the relevant Member of a warning notice by means of registered letter with return receipt requested or email or facsimile also
- through the MEDITERRANEAN MUAYTHAI UNION website.
- B. The suspension decision of the Board of Directors shall be communicated in due course to the Member by the President by means of registered letter to the member’s official address with return receipt requested or email or facsimile. Moreover, all the MEDITERRANEAN MUAYTHAI UNION Members shall be properly informed on the suspension of the relevant Member.
- C. Following the receipt of the suspension decision of the Board of Directors communicated as above, in case the Member does not comply with the obligations set in suspension decision of the Board of Directors within a period of time determinate within such suspension decision, the Board of Directors shall resolve upon the expulsion of the relevant Member pursuant to the provisions of Article 28.3 below.
- D. A suspended Member shall lose all its membership rights. Other Members may not entertain sporting contact with a suspended Member. The Disciplinary Committee may impose further sanctions.
- E. Mediterranean National Federations and/or Associations which have not paid their annual fees to the MEDITERRANEAN MUAYTHAI UNION by the required date will be automatically suspended from all Mediterranean activities until complete payment of all amounts due is affected.
- 28.3 – EXPULSION
- A. The expulsion of a Member shall be resolved by the Board of Directors, by means of a resolution adopted with the majority provided under Article 23, paragraph J, above, for the following reasons:
- refusal by the relevant Member to comply with the obligations set in suspension decision within a period of time determinate within such suspension decision;
- serious violation of the Statutes, regulations or decisions of the MEDITERRANEAN MUAYTHAI UNION
or its bodies; - any kind of discrimination acts to IFMA Mediterranean, its Executives, Administration and any of its Members.
B. A notice of notification to a Member shall be deemed to have been properly served, provided it was sent to the last address indicated by the Member to the Administration of the MEDITERRANEAN MUAYTHAI UNION;
C. The expulsion decision of the Board of Directors shall be communicated in due course to the Member by the President by means of registered letter with return receipt requested or email or facsimile. Moreover, all the MEDITERRANEAN MUAYTHAI UNION members shall be properly informed on the expulsion of the relevant Member also through IFMA website.
Art. 29 – EXPENSES
Approved expenditure: The Board of Directors approves all expenditure.
Art. 30 – THE TREASURER– AUDIT COMMITTEE – INDEPENDENT AUDITOR
A. The Board of Directors, within its members, will name a Treasurer who is responsible of the control and checking of every single expenses made. The Treasurer will check all book-keeping and financial transactions at the end of each fiscal year and will make his report during the Board of Directors Meeting.
B. The Audit Committee is appointed by the General Assembly for a period of 4 (four) - years. The Audit Committee may be re-appointed.
- C. The Audit Committee is composed of 2 (two) auditors chosen among external qualified professional auditors totally independent from the MEDITERRANEAN MUAYTHAI UNION.
- D. The Audit Committee shall carry out an audit at least once per year, with the understanding that additional audits may be carried out any time the Audit Committee deems it necessary.
- E. All administrative and any financial matters of the MEDITERRANEAN MUAYTHAI UNION shall be subject to audit by the Audit Committee.
- F. All financial documentation (including expenses, financial statements, balance
- sheets, receipts, banking information) shall be submitted by the Administration of the MEDITERRANEAN MUAYTHAI UNION as requested by the Audit Committee.
- G. The Audit Committee may be allowed to participate in the meetings of the Board of Directors but has no voting rights in the Board of Directors.
- H. In the cases where it is required by applicable laws, the General Assembly shall appoint an external independent auditor of the MEDITERRANEAN MUAYTHAI UNION. The external auditor shall be chosen among accredited firms at international level and shall be in charge of the audit of the financial statements and accounts of the MEDITERRANEAN MUAYTHAI UNION for a period of 4 (four) years. The external auditor may be re-appointed for no longer than 2 mandates.
- Art. 31 – FINANCIAL REPORTS
- The President will present a report about the financial position of the MEDITERRANEAN MUAYTHAI UNION every two years to all members of the Board of Directors during their annual meeting: The Treasurer of the MEDITERRANEAN MUAYTHAI UNION is responsible for the control of each single expenses and he is in charge to report the validity of the book-keeping and financial transactions within the Board of Directors.
- The MEDITERRANEAN MUAYTHAI UNION fiscal year shall start on January 1st and end on December 31st.
- Art. 32 – RIGHT FOR TELEVISION, RADIO, PHOTOGRAPHIC, ADVERTISING, SPONSORSHIP AND FILM RIGHTS DURING OF IFMA EVENTS
- Any and all television, radio, photographic, advertising, sponsorship and film rights of the MEDITERRANEAN MUAYTHAI UNION an events, belong exclusively to the MEDITERRANEAN MUAYTHAI UNION.
- The MEDITERRANEAN MUAYTHAI UNION President or his delegate can negotiate these rights with promoters, sponsors and the MEDITERRANEAN MUAYTHAI UNION members.
- CHAPTER V: DEGREES AND BYLAWS
- Art. 33 – DEGREES
- The MEDITERRANEAN MUAYTHAI UNION will recognize, only the degrees issued by IFMA IF., as valid qualification the degrees granted officially by Mediterranean National Muaythai leaders to their own licensed members, such as they are defined by the Board of Directors up to 2nd Degree black belt. All grades above 3rd degree must be issued by IFMA IF.
- Art. 34 – BYLAWS
- The By-laws of the MEDITERRANEAN MUAYTHAI UNION are reviewed and prepared by the MEDITERRANEAN MUAYTHAI UNION’s Board of Directors and are ratified or modified by the next following General Assembly.
- CHAPTER VI: FINAL PROVISIONS
Art. 35 – INSURANCE – MEMBERS AND ATHLETES
A. All the MEDITERRANEAN MUAYTHAI UNION Members are responsible for and are required to obtain insurance for their associations or federations and athletes including coverage for sports accidents in national and international competitions.
B. The MEDITERRANEAN MUAYTHAI UNION will not take responsibility for any Member liability.
C. The MEDITERRANEAN MUAYTHAI UNION and its bodies accept no liability whatsoever towards Member associations. The burden of proof for establishing any liability of The MEDITERRANEAN MUAYTHAI UNION and/or its bodies shall remain with the Member.
Art. 36 – DISPUTE RESOLUTION
A. Any dispute arising from, or related to these Statutes or any regulation, directive, operations and decisions of the MEDITERRANEAN MUAYTHAI UNION’s bodies which cannot be resolved through the standard operational procedures of the MEDITERRANEAN MUAYTHAI UNION can be brought forward CAS.
B. Appeals against final decisions passed by Board of Directors shall be lodged with CAS within 20 days of notification of the decision in question;
C. The provisions of the CAS Code of Sports-Related Arbitration shall apply to the proceedings. CAS shall primarily apply the various regulations of the MEDITERRANEAN MUAYTHAI UNION.
D. The appeal shall not have a suspensive effect.
E. The MEDITERRANEAN MUAYTHAI UNION Members shall agree to recognize CAS as an independent judicial authority and to ensure that their members, affiliated clubs, athletes and officials comply with the decisions passed by CAS.
F. Recourse to ordinary courts of law is prohibited unless specifically provided for in the MEDITERRANEAN MUAYTHAI UNION regulations.
G. The MEDITERRANEAN MUAYTHAI UNION Members shall insert a clause in their Statutes or regulations, stipulating that it is prohibited to take disputes in the Member or disputes affecting athletes, clubs, officials and other association officials to ordinary courts of law, unless the IFMA regulations or binding legal provisions specifically provide for or stipulate recourse to ordinary courts of law.
H. The MEDITERRANEAN MUAYTHAI UNION Members shall also ensure that this stipulation is implemented in their Federation and/or association, if necessary by imposing a binding obligation on its members. The MEDITERRANEAN MUAYTHAI UNION Members shall impose sanctions on any party that fails to respect this obligation and ensure that any appeal against such sanctions shall likewise be strictly submitted to CAS, and not to ordinary courts of law.
İ. All related fees must be paid upon submission, in writing, of the dispute by the member demanding such process.
Art. 37 – INTERPRETATION
The authority for settling any dispute arising out of the interpretation of these Statutes shall reside with TH the E MEDITERRANEAN MUAYTHAI UNION’s Board of Directors for the time being,
who shall seek the advice of the General Assembly before taking the final decision.
Art. 38 – AMENDMENTS AND MODIFICATION OF THE STATUTES
Any Amendments or any changes to the MEDITERRANEAN MUAYTHAI UNION Constitution and Articles of the Association can only be decided by the General Extraordinary Assembly when there present at least two third (2/3) of its voting members present at the said Assembly.
Art. 39 – DISSOLUTION
The General Assembly having to decide upon the MEDITERRANEAN MUAYTHAI UNION’s dissolution, and especially called for that purpose, will include at least two third (2/3) of its voting members. If that proportion is not reached, the General Assembly is called again a second time in a minimum of two weeks’ time.
The General Assembly will have then the right to deliberate whatever may be the number of the MEDITERRANEAN MUAYTHAI UNION voting members.
In case of dissolution, the General Assembly will appoint one or several Commissions to close down the MEDITERRANEAN MUAYTHAI UNION.
the MEDITERRANEAN MUAYTHAI UNION assets, if any, in accordance with the law, will be granted to one or more Federations and/or Associations.
Art. 40 – ANTI-DOPING
The MEDITERRANEAN MUAYTHAI UNION recognizes the WADA, “World Anti-Doping Agency” and World Anti-Doping code as the principal authority for its Anti-Doping policy. All member federations of the MEDITERRANEAN MUAYTHAI UNION follow the IFMA IF Anti-Doping policy.
Art. 41 – RECOGNIZED JURISDICTION
The MEDITERRANEAN MUAYTHAI UNION recognizes as the principal authority in all disputes and matters of arbitration as the Court of Arbitration for Sport (CAS) jurisdiction and accepts the Code of Sports-related Arbitration as defined.

This Constitution Complies with Code of Laws and rules of the International Federations Muaythai Association (IFMA).
